The terms that apply when you use the Satyakod website and platform.

Terms of Service

In short

Satyakod is a business service. A signed order form or agreement with us takes priority over these terms. Verdicts help you detect counterfeits but cannot catch every fake. These terms are governed by Indian law and the courts at Ghaziabad, Uttar Pradesh.

1. Agreement

These Terms of Service (“Terms”) are an agreement between AnvionixLabs, a sole proprietorship registered in India (GSTIN 09GRRPS7325N2ZJ) with its principal place of business at Niti Khand-1, Plot-230, Indirapuram, Ghaziabad, Uttar Pradesh 201014, India (“we”, “us”), which provides Satyakod, and the organisation using Satyakod (“Customer”, “you”). By creating an account, signing an order form, or using the service, you accept these Terms on behalf of your organisation and confirm you are authorised to do so.

If you sign an order form, master agreement or other written contract with us, that document takes priority over these Terms where they conflict.

2. The service

Satyakod lets you generate signed product codes (including GS1-based codes and proprietary Private Codes), print them on your products, verify scans, detect suspected counterfeits, clones and diversion, investigate alerts, and connect integrations (the “Service”).

We may improve and change the Service. If a change materially reduces functionality you pay for, we will give you reasonable notice.

Demo accounts are available on request, at our discretion, free of charge, for evaluation only. They come with no service commitments and may be limited, reset or closed at any time.

3. Accounts

  • You must be at least 18 and use the Service only for your organisation’s business purposes.
  • Keep credentials confidential and use single sign-on and multi-factor authentication where available. You are responsible for activity under your accounts.
  • Tell us promptly at security@satyakod.com if you suspect unauthorised access.

4. Your responsibilities

  • Apply codes only to products you manufacture, own, or are authorised to label.
  • Comply with laws that apply to your products, labelling, consumer protection, advertising and data protection, including giving people who scan your products an appropriate privacy notice.
  • Follow our Acceptable Use Policy.
  • Provide accurate information for billing and tax, including your GSTIN where applicable.

5. Fees, taxes and payment

Fees are set out in your order form or plan and are based on the number of codes you generate. Verification scans are not charged separately unless your order form says otherwise.

Fees are payable in Indian rupees or US dollars as stated on your invoice, through Razorpay or another method we agree. Fees exclude taxes; we add GST and other applicable taxes as required by law.

Unless your order form says otherwise, invoices are due within 15 days. If payment is more than 30 days late, we may suspend the Service after giving you at least 7 days’ notice.

Subscriptions renew automatically for the same term unless either party gives notice before renewal. We will give at least 30 days’ notice of any price increase at renewal.

6. Cancellation and refunds

Cancellations and refunds are governed by our Refund and Cancellation Policy. In summary, you may cancel a new paid subscription within 15 days of payment for a refund, subject to the exclusions in that policy.

7. Your data

You own the data you put into the Service and the scan data generated for your products (“Customer Data”). You grant us the rights needed to host, process and display Customer Data to provide and support the Service.

We process personal data within Customer Data as your processor under our Data Processing Addendum, which forms part of these Terms.

We may use aggregated or de-identified data that does not identify you or any individual to operate, secure and improve the Service, for example to tune counterfeit detection.

8. Intellectual property

We own the Service, the Satyakod name and logo, our software, symbologies, decoders and documentation. These Terms do not transfer any of our intellectual property to you.

You own your trademarks, product designs and custom code designs made for you, subject to our ownership of the underlying technology. You may not reverse engineer, decompile or attempt to extract the decoding methods, keys or source code of the Service, except where the law expressly permits it.

If you send us feedback, we may use it without obligation to you.

9. Confidentiality

Each party will keep the other’s non-public information confidential, use it only to perform these Terms, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice where allowed).

10. Availability and support

We aim to keep the Service available and to fix problems promptly. Service levels, support hours and response times apply only if they are set out in your order form. Codes you have already printed continue to verify after your subscription ends for any period agreed in your order form.

11. What the Service can and cannot do

Verdicts are technical indicators based on code signatures, scan history and the rules you configure. They are not legal determinations and cannot detect every counterfeit; for example, a perfect copy of a label that has not yet been scanned elsewhere may verify as genuine until its clone pattern appears.

Except as expressly stated in these Terms or your order form, the Service is provided “as is” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.

12. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, goodwill or data, however caused.

Each party’s total liability arising out of or relating to these Terms is limited to the fees paid or payable by you to us in the 12 months before the event giving rise to the claim.

These limits do not apply to your payment obligations, to either party’s liability for breach of confidentiality, infringement of the other’s intellectual property, or to liability that cannot be limited by law.

13. Indemnities

You will defend and indemnify us against third-party claims arising from your products, your labelling, your Customer Data, or your use of the Service in breach of these Terms or the law.

We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes their intellectual property rights in India, provided you notify us promptly and let us control the defence. We may modify the Service, obtain a licence, or end the affected Service and refund prepaid fees for the unused period.

14. Term, suspension and termination

These Terms apply while you use the Service. Either party may terminate for material breach that is not cured within 30 days of written notice.

We may suspend access immediately if needed to prevent harm to the Service, other customers or the public, or if required by law, and will restore it once the issue is resolved.

On termination you may export your Customer Data for 30 days, after which we delete it in line with our Data Processing Addendum and retention policy.

15. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to resolve disputes in good faith within 30 days. Failing that, the courts at Ghaziabad, Uttar Pradesh, India, have exclusive jurisdiction.

16. General

  • Changes: we may update these Terms with at least 30 days’ notice for material changes. Continued use after the effective date means acceptance.
  • Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
  • Assignment: neither party may assign these Terms without consent, except to a successor in a merger or sale of the business, with notice.
  • Notices: to us at legal@satyakod.com; to you at the email on your account.
  • Entire agreement: these Terms, your order form and the documents they refer to are the entire agreement on this subject.
